KH board to go over financials tonight

The KershawHealth Board of Trustees will receive a financial report from Executive Vice President and COO/CFO Mike Bunch. Bunch will also bring forward a request for the hospital to purchase equipment.

As he has during several meetings this year, KershawHealth CEO Terry Gunn will speak again employee recognition. Gunn will also provide another update on the due diligence being performed between KershawHealth, Capella Healthcare and the Medical University of South Carolina. Capella is offering $45 million -- minus an approximately $9 million credit, an amount equal to what it takes to run the hospital on a day-to-day basis -- to lease KershawHealth’s facilities for 40 years and purchase its furniture, fixture and equipment.

According to a letter of intent signed in December, the deal is supposed to close in eight days, on March 31. The board has yet to signal whether the transaction will actually take place on time.

During an executive session at the end of tonight’s meeting, the board will receive further legal advice regarding the Capella/MUSC transaction. It will also receive and vote on a medical staff report, and receive legal advice on an undisclosed personnel matter.

Tonight’s agenda does not indicate whether the board will vote on any other matters pertaining to the Capella/MUSC deal.

Also tonight, Vice Chair Dr. Tallulah Holmstrom is scheduled to give a quality committee report, and Trustee Derial Ogburn is to give a report from the contracts committee.

The meeting starts at 6 p.m. at the Health Resource Center on Battleship Road in Camden, and is open to the public.
