RCCH Healthcare Partners, LifePoint Health may merge

KershawHealth may soon see a change in ownership.

KershawHealth CEO Terry Gunn released information in a memorandum Monday and during a presentation to Kershaw County Council on Tuesday regarding a proposed merger between KershawHealth’s current parent company, RCCH Healthcare Partners and LifePoint Health Inc.

“LifePoint Health is a company much like RCCH,” Gunn said. “They are based in the Nashville area and serve communities and regional markets just like us. You are no doubt aware of the continuing challenges and pressures that all healthcare organizations are under today. Size, scale, and geographic diversity are increasingly important. The proposed merger with LifePoint will help in all these areas.”

Gunn also noted that LifePoint Health is in a 30-day “Go-Shop Period,” which is essentially a period of time that allows the company to consider other offers.

“Because of the “Go-Shop Period” provision instituted by LifePoint’s board, which is typical in situations like this, we are limited on what we can say or share about the anticipated transaction during this period,” he said.

There are several points to understand regarding the proposed transaction, Gunn said. First, because of the structure of the proposed transaction, this does not constitute a change of control for RCCH; the board of directors for RCCH will remain as the board for the combined company and Bill Carpenter, currently Chairman and CEO of LifePoint Health, will be CEO of the new combined company.

“Since the very beginning of RCCH, we have all been working toward a day where we are a true difference maker and leader in the delivery of care to regional markets across the country,” Gunn said. “This proposed transaction is an important and exciting step in that journey.”

Company leaders expect the closing of the transaction will occur over the course of the next several months, Gunn said.
